Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Volcha Enterprises Limited ("Volcha", "we", "us", "our") governing your use of Fundi Sensei and any related services we provide. By accessing or using the Service you agree to these Terms.

1. Eligibility and acceptance

You must be at least 18 years old and have the legal capacity to enter a binding contract in your jurisdiction to use the Service. By using the Service you represent and warrant that you meet these requirements. If you are using the Service on behalf of a business, you further represent that you have authority to bind that business to these Terms.

2. The Service

Fundi Sensei is an AI-powered business assistant that helps you describe a business problem, scope a software or digital project, and, if you wish, hand the conversation off to a Volcha team member. The Service is provided free of charge for evaluation. We may add, modify, or remove features at any time, with or without notice.

3. AI-generated content and human handoff

Responses you receive from Fundi Sensei are generated by an AI model(currently Google Gemini). AI responses may be inaccurate, incomplete, or out-of-date. They do not constitute legal, financial, medical, tax, or professional advice. Always verify important information independently and consult a qualified professional for advice specific to your situation.

At your request, or when the conversation reaches a limit, the conversation may be forwarded to a Volcha team member who will follow up with you. Until then, no binding offer, quotation, contract, or commitment has been made by Volcha.

4. Your responsibilities

You agree that you will:

  • Provide accurate information when prompted;
  • Keep the email address you provide current;
  • Use the Service only for lawful purposes and in accordance with these Terms and our Acceptable Use rules;
  • Not attempt to interfere with, reverse-engineer, or gain unauthorised access to the Service;
  • Not impersonate any person or entity, or misrepresent your affiliation with one.

5. Prohibited use

You must not use the Service to:

  • Generate, transmit, or solicit content that is unlawful, defamatory, harassing, hateful, violent, sexually explicit, or otherwise objectionable;
  • Generate content that targets or exploits children;
  • Generate malware, phishing pages, or instructions facilitating wrongdoing;
  • Generate content intended to influence the political opinions of voters or the outcome of an election in a manner prohibited by law;
  • Generate content that infringes intellectual property rights or trade secrets;
  • Generate content that is intended to be used in automated decision-making about individuals with legal or similarly significant effects, in violation of GDPR Article 22 or equivalent law;
  • Attempt to bypass safety, content, or rate-limit measures; or
  • Use the Service in any way that violates the Google Generative AI Prohibited Use Policy.

We may suspend or terminate your access if we reasonably believe you have breached this section.

6. Intellectual property

The Service, including its software, design, logos, agent personas, and underlying prompts, is owned by Volcha or its licensors and is protected by intellectual property laws. You retain ownership of the content you submit. You grant Volcha a worldwide, non-exclusive, royalty-free licence to use that content solely to operate and improve the Service and to comply with legal obligations.

AI-generated responses are provided to you for your internal evaluation purposes. Subject to applicable law, you may use them as a starting point for your own business communications.

7. Feedback

If you send us suggestions, ideas, or recommendations ("Feedback"), you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use the Feedback for any purpose without obligation to you.

8. Third-party services

The Service relies on third-party providers including Google (Gemini, Firebase), Exa.ai (web search), Telegram (handoff notifications), and Vercel / BotID (hosting, security). Use of those services is subject to their own terms and policies, which are incorporated into these Terms by reference.

9. Disclaimers and no warranty

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF OUTPUTS. VOLCHA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOLCHA AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify and hold harmless Volcha and its officers, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms or your use of the Service.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, including for breach of these Terms. You may stop using the Service at any time and request deletion of your data as described in our Privacy Policy.

13. Changes to these Terms

We may update these Terms. When we do, we will revise the "Last updated" date and, for material changes, display a notice in the Service. Your continued use after the effective date constitutes acceptance of the updated Terms.

14. Governing law and disputes

These Terms are governed by the laws of the Republic of Kenya, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Kenya, except where a consumer protection law in your jurisdiction grants you the right to bring proceedings in your local courts.
